AMENDMENT TO HOUSE BILL 3663

2    AMENDMENT NO. ______. Amend House Bill 3663 on page 1, line
35, by changing "Limited" to "Limited Worker"; and
 
4on page 2, by inserting immediately below line 23 the
5following:
6    ""Candidate" means a worker who is being considered for
7membership in a worker cooperative, as defined in the
8cooperative association's articles or bylaws."; and
 
9on page 2, line 25, by deleting "elects to be a worker
10cooperative"; and
 
11on page 3, by replacing line 1 with the following:
12"only has one class of members consisting of"; and
 
13on page 3, line 4, by deleting "patron"; and

1on page 3, by replacing line 16 with the following:
2    ""Multi-stakeholder cooperative" means a cooperative
3organized under this Act that has different classes of members
4whose rights and proprietary interests shall be determined by
5the articles or bylaws. At least 51% of the members shall be
6worker-members or candidates. A multi-stakeholder cooperative
7is a worker cooperative for purposes of this Act.
8    "Worker cooperative" means a"; and
 
9On page 3, by replacing lines 21 through 24 with the following:
10"be organized as a worker cooperative does not create a
11presumption that workers are employees of the corporation for
12any purposes. A worker cooperative formed under this Act may
13include additional classes of members whose rights and
14proprietary interests shall be determined by the articles or
15bylaws. At least 51% of the workers shall be worker-members or
16candidates.
17    "Worker" means a natural person contributing labor or
18services to a worker cooperative."; and
 
19on page 4, line 6, by changing "may elect" to "elects"; and
 
20on page 4, line 8, by deleting "or an employment cooperative";

1"organizers. Organizers need not be members or worker-members
2of the worker cooperative."; and
 
3on page 5, by replacing lines 7 through 9 with the following:
4        "(6) any other provision, not inconsistent with law,
5    that the worker-members, members, or organizers elect to
6    set out in the articles for the regulation of the internal
7    affairs of the worker cooperative, including any
8    provisions that, under this Act, are required or permitted
9    to be set out in the bylaws of the worker cooperative.";
10    and
 
11on page 6, lines 16 and 19, by deleting "patron" each time it
12appears; and
 
13on page 7, line 21, by deleting "patron"; and
 
14on page 9, lines 1, 4, 5, 18, and 25, by deleting "patron" each
15time it appears; and
 
16on page 9, by replacing lines 20 through 24 with the following:
17    "(d) Community investors are not entitled to vote unless
18the articles or bylaws provide otherwise."; and
 
19on page 12, line 4, by deleting "stock or"; and
