Synopsis As Introduced
Creates the Uniform Limited Partnership Act (2001). Provides procedures for the formation, operation, and regulation of limited partnerships. Repeals the Revised Uniform Limited Partnership Act. Amends other Acts to make conforming changes.

Senate Floor Amendment No. 1
Adds reference to:
30 ILCS 105/5.625 new

Deletes everything and re-inserts similar provisions with these changes: Changes provisions concerning: filing of annual reports with the Secretary of State; standards of conduct of a general partner; disassociation of a general partner; and other matters. Adds provisions concerning: assumed names; misrepresentation of where a business is actually located or operating; publication of a list of limited partnerships and foreign limited partnerships; collection of fees; administration and rulemaking; evidence; forms; creation of the Department of Business Services Special Operations Fund as a special fund in the State treasury and inclusion of the new Fund in the State Finance Act as a special fund; judicial review; and other matters. Adds a January 1, 2005 effective date.
