SYNOPSIS AS INTRODUCED:
 
805 ILCS 5/8.13 new

    Amends the Business Corporation Act of 1983. Creates the Diversity and Inclusion in Business Organizations Leadership Task Force within the Office of the Secretary of State. Provides that the purpose of the Task Force is to identify ways to increase diversity in business organization leadership and to make recommendations to the Governor and General Assembly to achieve that goal. Provides that the Task Force shall submit a report of its findings and recommendations to the Governor and the General Assembly by January 1, 2026. Sets forth provisions concerning duties, membership, and administrative support. Repeals the provision that creates the Task Force and dissolves the Task Force on January 1, 2027. Effective immediately.

1    AN ACT concerning business.
 
2    Be it enacted by the People of the State of Illinois,
3represented in the General Assembly:
 
4    Section 1. Findings and purpose. The General Assembly
5finds that women, minorities, persons with disabilities, and
6members of the LGBTQ+ community are historically
7underrepresented in business organization leadership, both
8nationally and within the State of Illinois. Increasing
9diversity and inclusion at the highest levels of business
10organization leadership is in the best interests of the State
11and its growing economy. Whether through legislation, public
12policy, or public outreach, opportunities exist for expanding
13diversity and inclusion to support more women, minorities,
14persons with disabilities, and members of the LGBTQ+ community
15in business organization leadership.
 
16    Section 5. The Business Corporation Act of 1983 is amended
17by adding Section 8.13 as follows:
 
18    (805 ILCS 5/8.13 new)
19    Sec. 8.13. Diversity and Inclusion in Business
20Organization Leadership Task Force.
21    (a) The Diversity and Inclusion in Business Organization
22Leadership Task Force is created within the Office of the

1Secretary of State. The purpose of the Task Force is to
2identify ways to increase diversity in business organization
3leadership and to make recommendations to the Governor and
4General Assembly to achieve that goal.
5    (b) The Task Force shall consist of the following members:
6        (1) the Secretary of State or the Secretary's
7    designee, who shall serve as the chairperson of the Task
8    Force;
9        (2) one member of the House of Representatives,
10    appointed by the Speaker of the House of Representatives;
11        (3) one member of the House of Representatives,
12    appointed by the Minority Leader of the House of
13    Representatives;
14        (4) one member of the Senate, appointed by the
15    President of the Senate;
16        (5) one member of the Senate, appointed by the
17    Minority Leader of the Senate; and
18        (6) five members representing women-owned, person with
19    disability-owned, minority-owned, or LGBTQ+-owned
20    business organizations or State vendors, appointed by the
21    Secretary of State.
22    (c) The Task Force shall survey the underrepresentation of
23minorities, women, persons with disabilities, and members of
24the LGBTQ+ community in business organization leadership. The
25Task Force shall review the required business filings that
26require disclosure of a business organization's demographic

1composition, the Business Enterprise Program, the Business
2Corporation Act of 1983, the Limited Liability Company Act,
3other relevant business organization statutes, and the
4Illinois Procurement Code in an effort to identify areas for
5improvement that will result in increasing diversity and
6inclusion for minorities, women, persons with disabilities,
7and members of the LGBTQ+ community in business organization
8leadership.
9    (d) The Task Force may request testimony from any person
10or entity that may assist in increasing the understanding of
11issues or providing solution-based ideologies that will
12improve representation and opportunities for minorities,
13women, persons with disabilities, and members of the LGBTQ+
14community within business organization leadership and State
15procurement.
16    (e) Members of the Task Force shall serve without
17compensation for the duration of the Task Force, but they may
18be reimbursed for reasonable travel expenses in compliance
19with the Secretary of State's travel rules required for
20attendance at meetings.
21    (f) The Office of the Secretary of State shall provide
22administrative and other support to the Task Force.
23    (g) As soon as practicable, but no later than October 1,
242024, all members of the Task Force shall be appointed. The
25Task Force shall meet quarterly in calendar year 2025.
26    (h) The Task Force shall prepare a report that summarizes

1its work and makes recommendations resulting from its
2meetings. The Task Force shall submit the report of its
3findings and recommendations to the Governor and the General
4Assembly by January 1, 2026.
5    (i) This Section is repealed, and the Task Force is
6dissolved, on January 1, 2027.
 
7    Section 99. Effective date. This Act takes effect upon
8becoming law.
