AMENDMENT TO HOUSE BILL 3663

AMENDMENT NO. ______. Amend House Bill 3663 on page 1, line 5, by changing "Limited" to "Limited Worker"; and

on page 2, by inserting immediately below line 23 the following:

""Candidate" means a worker who is being considered for membership in a worker cooperative, as defined in the cooperative association's articles or bylaws."; and

on page 2, line 25, by deleting "elects to be a worker cooperative"; and

on page 3, by replacing line 1 with the following:

"only has one class of members consisting of"; and

on page 3, line 4, by deleting "patron"; and

on page 3, by replacing line 16 with the following:

""Multi-stakeholder cooperative" means a cooperative organized under this Act that has different classes of members whose rights and proprietary interests shall be determined by the articles or bylaws. At least 51% of the members shall be worker-members or candidates. A multi-stakeholder cooperative is a worker cooperative for purposes of this Act.

"Worker cooperative" means a"; and

On page 3, by replacing lines 21 through 24 with the following:

"be organized as a worker cooperative does not create a presumption that workers are employees of the corporation for any purposes. A worker cooperative formed under this Act may include additional classes of members whose rights and proprietary interests shall be determined by the articles or bylaws. At least 51% of the workers shall be worker-members or candidates.

on page 4, line 6, by changing "may elect" to "elects"; and

on page 4, line 8, by deleting "or an employment cooperative"; and

on page 5, by replacing lines 7 through 9 with the following:

"(6) any other provision, not inconsistent with law, that the worker-members, members, or organizers elect to set out in the articles for the regulation of the internal affairs of the worker cooperative, including any provisions that, under this Act, are required or permitted to be set out in the bylaws of the worker cooperative."; and

on page 6, lines 16 and 19, by deleting "patron" each time it appears; and

on page 7, line 21, by deleting "patron"; and

on page 9, lines 1, 4, 5, 18, and 25, by deleting "patron" each time it appears; and

on page 9, by replacing lines 20 through 24 with the following:

"(d) Community investors are not entitled to vote unless the articles or bylaws provide otherwise."; and

on page 12, line 4, by deleting "stock or"; and

on page 12, line 7, by replacing "the" with "the registration"; and

page 13, line 3, by replacing "limited" with "limited worker"; and

page 13, line 4, by replacing "Limited" with "Limited Worker"; and

page 22, line 14, by replacing "limited" with "limited worker"; and

on page 22, by replacing lines 21 and 22 with the following:

Section 99. Effective date. This Act takes effect January 1, 2020.".
