AMENDMENT TO SENATE BILL 3631

2    AMENDMENT NO. ______. Amend Senate Bill 3631 by replacing
3everything after the enacting clause with the following:
 
4    "Section 5. The Metropolitan Pier and Exposition Authority
5Act is amended by changing Section 5.6 as follows:
 
6    (70 ILCS 210/5.6)
7    Sec. 5.6. Marketing agreement.
8    (a) The Authority shall enter into a marketing agreement
9with a not-for-profit organization headquartered in Chicago
10and recognized by the Department of Commerce and Economic
11Opportunity as a certified local tourism and convention bureau
12entitled to receive State tourism grant funds, provided the
13bylaws of the organization establish a board of the
14organization that is comprised of 35 25 members serving 3-year
15staggered terms, including the following:
16        (1) no less than 8 members appointed by the Mayor of

1    Chicago, to include:
2            (A) a Chair of the board of the organization
3        appointed by the Mayor of the City of Chicago from
4        among the business and civic leaders of Chicago who are
5        not engaged in the hospitality business or who have not
6        served as a member of the Board or as chief executive
7        officer of the Authority; and
8            (B) 7 members from among the cultural, economic
9        development, or civic leaders of Chicago;
10        (2) the chairperson of the interim board or Board of
11    the Authority, or his or her designee;
12        (3) a representative from the department in the City of
13    Chicago that is responsible for the operation of
14    Chicago-area airports;
15        (4) a representative from the department in the City of
16    Chicago that is responsible for the regulation of
17    Chicago-area livery vehicles;
18        (5) at least 1, but no more than:
19            (A) (3) no more than 5 members from the hotel
20        industry;
21            (B) 5 members representing Chicago arts and
22        cultural institutions or projects;
23            (C) (4) no more than 2 members from the restaurant
24        industry;
25            (D) (5) no more than 2 members employed by or
26        representing an entity responsible for a trade show;

1            (E) (6) no more than 2 members representing unions;
2            (F) (7) no more than 2 members from the attractions
3        industry; and
4        (6) (8) the Director of the Illinois Department of
5    Commerce and Economic Opportunity, ex officio.
6    The bylaws of the organization may provide for the
7appointment of a City of Chicago alderman as an ex officio
8member, and may provide for other ex officio members who shall
9serve terms of one year.
10    Persons with a real or apparent conflict of interest shall
11not be appointed to the board. Members of the board of the
12organization shall not serve more than 2 terms. The bylaws
13shall require the following: (i) that the Chair of the
14organization name no less than 5 and no more than 9 members to
15the Executive Committee of the organization, one of whom must
16be the chairperson of the interim board or Board of the
17Authority, and (ii) a provision concerning conflict of interest
18and a requirement that a member abstain from participating in
19board action if there is a threat to the independence of
20judgment created by any conflict of interest or if
21participation is likely to have a negative effect on public
22confidence in the integrity of the board.
23    (b) The Authority shall notify the Department of Revenue
24within 10 days after entering into a contract pursuant to this
25Section.

1    Section 99. Effective date. This Act takes effect upon
2becoming law.".
