Replaces everything after the enacting clause. Amends the Uniform Commercial Code to adopt changes recommended by the National Conference of Commissioners on Uniform State Laws with respect to the secured transactions Article of the Code. Establishes a transition schedule. Effective July 1, 2013.

Senate Floor Amendment No. 2
Makes changes with respect to the priority of security interests created by a new debtor. Provides that the priority among conflicting security interests in the same collateral is determined under provisions of Part 3 of Article 9 of the Uniform Commercial Code. Makes a technical correction. Adds captions to certain subsections.
